Professional Experience
Paula Alonso joined the Firm in 2016. She integrates M&A and Capital Markets Practice Group with focus on Corporate Law matters and in mergers and acquisitions transactions, joint venture, corporate restructuring, handling complex, multijurisdictional transactions, as well as corporate matters and commercial and contract law matters.
Paula assists and advises clients on corporate and mergers and acquisitions areas, coordinating projects, including complex, multijurisdictional transactions, from the preliminary agreements and negotiations until the closing of the transaction, including the due diligence coordination, drafting and negotiation of acquisition and investment agreements, joint venture contracts, and other corporate agreements. She also advises clients on corporate restructures, besides providing general advice on corporate matters.

She graduated from Pontifícia Universidade Católica do Rio de Janeiro with a degree in Law, specialized in Corporate and Capital Markets Law from Fundação Getúlio Vargas do Rio de Janeiro (FGV/RJ)] and in Tax Law from Instituto Brasileiro de Estudos Tributários (IBET).
Representative matters and clients
– Assisted client in negotiations of the purchase and sale agreement, as well as in the closing of the transaction for the acquisition of a multijurisdictional hotel company in the total amount of USD 3 billion;
– Assisted a private equity fund in the USD 20 million global acquisition of drilling segment of the seller;
– Assisted client in a USD 530 million deal for the sale of a business line of a leading global producer of styrenic block copolymers and high-value performance products derived from renewable resources to a leading petrochemical Korean company, including the spin-off in preparation for the sale;
– Advised client on the sale of a manufacturing and assembly plant, including the support in the structuring of the deal, drafting the sale agreements and the long term supply agreement with the purchaser.
