Professional Experience

João Miguel Fassina Damous joined the Firm’s Transactional practice group in 2018, having first joined the Firm in 2014 in the compliance & governance practice. He is focused on corporate and transactional practice, specializing in commercial agreements; Real Estate transactions; planning and coordination of corporate reorganizations; corporate governance; and preparation, negotiation and review of agreements under the scope of M&A projects. Miguel is also experienced in implementation of compliance programs and internal investigations connected to national and foreign compliance laws. Miguel also worked in criminal investigations; piracy prevention and IP protection measures. He graduated from Universidade Federal do Rio de Janeiro – UFRJ with a degree in Law.

He also graduated in extension courses in Contractual Law (Escola de Magistratura do Estado do Rio de Janeiro – EMERJ and Fundação Getúlio Vargas – FGV) in 2021 and in Real Estate Business (Fundação Getúlio Vargas – FGV) in 2022 and in 2023.

Activities outside the office

Miguel acted as monitor in the M&A course coordinated by the Corporate Law Commission (CODE) of the Brazilian Bar Association (OAB-RJ)’s School of Law Practice (ESA), in 2018.

Representative matters and clients

• Coordination of the contractual area of large multinational companies in various industries, such as pharmaceuticals, automobile, sports, education and food;

• Coordination of international corporate reorganizations in various industries, such as IT, certifications and animal health;

• Participation in cross border M&A projects connected to industries such as technology, hospitality, entertainment, oil and gas;

• Participation in the cross border independent investigation conducted for the Brazilian national oil company Petrobras in connection with the Car Wash Operation, including expressive action in data collection and processing in various jurisdictions;

• Participation in internal investigations for Brazilian and foreign companies in various industries, in connection to internal fraud and public tender procedures.
