X International Conference For Multinationals

We are pleased to announce the X International Conference for Multinationals. The event will take place on August 24 and 25, 2020, completely online.

This year, we will address the development of tax reforms in Brazil and in its main commercial partners, trends and challenges of digital services taxation, alternatives forms of conflict resolutions in tax assessments and the transfer pricing impact of the post Covid-19 world. 
 
Additionally, we will address the impacts of the pandemic over labor agreements, financial restructuring, sustainability in global business and the new transparency era of international transactions.

Opening

We will begin this year’s conference with global and regional leaders of Ablfs McKfnzif and of Trench Rossi Watanabe reflecting on the current business environment and the challenges and opportunities from a legal and tax perspectives in Brazil and around the globe. Recognizing that the global crisis brought by the Covid-19 resulted in companies going through a 3-stage process of Resilience, Recovery and Renewal (the so-called 3R), the panel will identify major points of attention from a practice and industry group perspectives in all these three phases. Focus will be on global issues and trends in the Information Technology and Intellectual Property, in the Consumer Goods and Retail Services, and on Energy, Mining and Infrastructure areas. A combination of practice and industry leaders in the global and the Brazilian market will kick off the conference with the perspective of what multinationals with connections with Brazil should expect in the short and long term business scenario.

Session 1: Digital Services Taxation – International Trends and
Challenges

In this panel, we will discuss the international trends for taxation of digital services. We will address not only the measures that are being considered by the OECD, but our colleagues from the Ablfs McKfnzif network will also share a panorama of the legal developments that are being implemented in Europe, Latin America, Asia and the US. Pedro Gomes, VP of Taxes at Gympass, will also contribute with his view as an industry speaker, sharing his experience with the challenges presented by the new tax rules in various jurisdictions. We will finalize with a debate on what could be the possible alternatives to adjust tax systems to the reality of the digital economy.

Session 2: New era of transparency,
compliance with ancillary obligations and responsibilities in international transactions

In this panel, we will discuss about the recent developments related to the Mandatory Reporting Rules (MDRs). The panelists will discuss the development of the tax transparency concept in line with the recommendations arising from the BEPS Plan and the impact of such concept in cross-border transactions. In addition, special focus will be given to the increasing number of mechanisms allowing the exchange of information between tax authorities and the enactment of rules such as the DAC6, and its potential implications to Brazilian companies doing business abroad.

Session 3: Alternative methods for dispute resolutions in tax controversies

In this panel, we will discuss the alternatives for the taxpayers to negotiate/settle tax debts with the tax authorities. The idea is to address how the negotiation works in Latin America (with focus on Brazil and Mexico), in the United States and in Europe (with focus on France), what are the pros and cons, as well as the precautions that companies should take before starting discussions with the authorities. Additionally, we will discuss how these negotiations may affect other companies within the same economic group and even the companies’ legal representatives.

Session 4: Financial restructuring – corporate and financial instruments for refinancing and attracting investments

In this panel, we will debate the main challenges and opportunities for financial restructuring in view of the pandemic situation. Our discussion will focus on: (i) settlement / renegotiation of bonds issued by offshore companies and internalization of resources through pre-export payments or regular loans granted to Brazil; (ii) PIPE deals; (iii) public offers and follow-on; (iv) sustainability bonds; and (v) fintechs and payment processing companies.

Session 5: Impacts of the pandemic in employment contracts

In this panel, we will discuss the current trends and future of work after the pandemic. We will address not only legal aspects, from both an employment and tax perspectives, of this new reality for employers, but also updated market research and data, as well as internal issues that have been faced by the companies in this adjustment period. Alfredo Soares and Renata Andrade, from Mercer, will help us understand how the marketplace is behaving and Marina Bessa Boury, from SPIC Brasil, will share the company’s experience with the challenges for the evolution and engagement of workforce.

Session 6: The new transfer pricing normal – developments and challenges of the post-COVID world

The transfer pricing rules are under a process of notorious evolution. While Brazil is about to adopt the first steps towards the convergence to the OECD Model, the OECD recognizes the benefits of fixed margins and/or safe harbors in case of standard transactions. In the global environment, international transactions have been harshly impacted by the pandemic. The current reality evidences significant changes in the supply chains and in the digital world, increasing complexity and creating new market conditions. In our panel, we will discuss the legal developments of transfer pricing rules in Brazil and internationally taking into account the “new normal”.

In this panel, we will discuss the evolution of the most modern rules and standards on Sustainability and ESG (Environmental, Social and Corporate Governance), dealing with how global businesses can address risks and take advantage of opportunities related to the theme under the three aspects: environmental, social and corporate. In addition, we will address the growing demands arising from the consumer market with regard to sustainability. We will have the participation of specialists who will discuss the topic from the Brazilian, American and European perspectives, sharing their recommendations and anticipating trends.

Session 9: Liability of administrators for anticompetitive conduct: administrative and criminal aspects

Antitrust violations are being strongly persecuted by government enforcers, in Brazil and abroad. Recently, such authorities have adopted a more stringent position against executives involved in such infringements, in order to foster an antitrust compliance culture, criate effective deterrence and to preserve companies. In this panel, our experts will address the changing landscape in cartel prosecution, the sanctions to which individuals and companies are exposed to, as well as prevention mechanisms that can be adopted internally by companies operating in multiple jurisdictions.
